   Reserve price and confirmation. If the reserve price is not met, there is a right, within 24 hours after the auction ends, to confirm or reject the highest bid or make a counteroffer. If the reserve price is met or exceeded, the highest bid is confirmed automatically. If a bid is placed in the final minutes of the auction, the end time may be automatically extended to ensure fair bidding.

   Data accuracy. The seller is fully responsible for ensuring that the actual condition, make, model, year of manufacture, operating hours or mileage, configuration and known defects of the machinery match the description.

   Technical condition and working order. The technical condition and working order stated in the description are true, and all known defects or damage are disclosed. Used machinery is sold in the condition stated in the auction description.

   Payment into the Escrow account. This auction is administered by FARMSTOCK. Within 1 business day after the auction is confirmed, the buyer pays the full transaction amount into the FARMSTOCK security (Escrow) account — not directly to the seller. FARMSTOCK acts as a party to the transaction towards the buyer (merchant of record) and issues an invoice for the full amount, including applicable VAT; the platform commission is applied in accordance with the Price List. The funds are held segregated from the operator's funds by the payment service provider (Stripe).

   Handover confirmation and payout to the seller. The Escrow funds (less the commission) are paid out to the seller only after the buyer has confirmed receipt of the machinery and the seller has confirmed handover. Until both confirmations, the funds remain in the Escrow account. In case of a dispute, the payout is withheld until the dispute is resolved; FARMSTOCK may act as an intermediary and, based on the parties' evidence, decide on refunding the Escrow funds to the buyer or paying them out to the seller.

   Removal, transfer of risk and documents. The winner must remove the machinery within 10 calendar days after the auction closes and the settlement obligations are fulfilled. Ownership and risk in the machinery pass to the buyer at the moment the machinery is loaded onto the buyer's (or its carrier's) vehicle or handed over; this moment does not change the Escrow payout conditions (point 5). The seller provides all required accompanying documents (including, where applicable, ownership or registration documents and technical documentation); if these are missing, the buyer may refuse to accept the machinery.

   Buyer's non-performance. If the buyer fails to pay the Escrow amount within the set deadline or fails to remove the machinery within 10 days, the Platform is entitled to cancel the transaction; the deposit paid is treated as earnest money and is not refunded.

   Legal effect and sanctions. Each bid is a legally binding purchase confirmation. If the auction winner unjustifiably refuses to complete the transaction, the Platform is entitled to claim compensation for damages incurred. In cases of gross or repeated violations, the Platform may suspend or block the account in accordance with the Terms of Use (with notice and reason; undisputed amounts are refunded).

   Listing exclusivity. During an active auction, the seller is strictly prohibited from simultaneously listing, advertising or offering the same machinery for sale on other platforms, classified portals or social media groups. In case of violation, FARMSTOCK is entitled to cancel the auction, block the seller's account in accordance with the Terms of Use, and apply a contractual penalty of EUR 100, as well as claim compensation for damages incurred.
